2025 Director Elections Proxy Statement

 The following statement is furnished in connection with the solicitation by the Board of Directors (the “Board”) of TIMBER LANE COMMUNITY IMPROVEMENT ASSOCIATION, INC., a Texas non-profit corporation herein sometimes referred to as the “Association,” of proxies to be used at the Association’s Annual Election of Directors and the Annual Meeting of Members of the Association to be held on Saturday, December 6, 2025, at the Association’s office, 2806 Trailing Vine Road at Liberty Park, Spring, Texas, 77373, and at any adjournment(s) thereof.  A Notice of Election and Notice of Annual Membership Meeting is enclosed herewith.

This proxy form is also for use at the Election and at the Meeting. The proxy may be revoked by the Member at any time before being exercised, either by written notice received by the Association prior to exercise or upon request of the Member made in person. If a Member shall execute two or more valid proxies, the proxy bearing the most recent date will be honored. All votes represented by valid proxies received pursuant to this solicitation will be voted at the election and meeting if not revoked prior to exercise. Where the Member specifies by means of the proxy a choice with respect to any matter to be acted upon, the vote will be voted in accordance with the specifications as made.

The cost of this proxy solicitation will be borne by the Association. The Association, its Directors, Officers, Employees, Managers and Agents, may solicit proxies by mail or by personal, telephonic, or electronic communication.

As provided in the Bylaws and the Articles of Incorporation of the Association, one (1) vote may be cast for each lot in the subdivision. Each owner of one or more lots is entitled to one (1) vote for each lot owned. Multiple owners of a single lot shall collectively have one (1) vote for each lot owned, to be exercised as they among themselves determine.

The aggregate number of votes for all Members of the Association is One Thousand Nine Hundred Fifty-Seven (1957) as of November 12, 2025, the record date for the determination of Members entitled to notice of, and to vote at, the Annual Election and the Annual Meeting of Voting Members.
As provided for in the Bylaws of the Association, the affairs of the Association are managed by the Board of Directors. Directors are elected at the Annual Election of Directors to three (3) year terms. Director terms are staggered. At this year’s Annual Election, three Directors are to be elected.
